Contract Risk Checklist

Does the contract say you get paid only IF or WHEN the owner pays the GC?

Is retainage higher than 5% or held beyond project completion?

Are payment terms longer than 30 days after invoice?

Does the indemnification clause require you to cover the GC's own negligence?

Are insurance requirements significantly higher than your current coverage?

Are there liquidated damages for delays, even those beyond your control?

Does the contract include vague language like "all work necessary" or "complete installation"?

Must change orders be approved BEFORE you start extra work to get paid?

Does the contract waive your right to damages for GC or owner-caused delays?

Can the GC terminate your contract for convenience with minimal notice?

Does the contract require arbitration or mediation in a distant location?

Is the warranty period longer than 1 year or tied to the overall project warranty?
